Terms of use

• Roomquoted is free for homeowners. Companies pay us a fee when they accept an introduction you chose.
• We compare companies and introduce you to the ones you pick. We do not do renovation work and we are not part of your contract with any company.
• Every price is labelled: a verified price, a Roomquoted estimate, or no price. None of them is a quote. The company sets the final price after a site visit.
• AI concept images are for ideas only. They are not plans, drawings or advice.
• Your photos stay yours. You let us use what you give us broadly: to run, improve and develop Roomquoted, to train our models, and to make de-identified data. You can switch some of these uses off on Your Privacy Choices.
• Our liability is limited as far as the law allows. Where the law allows, disputes with US users go to individual arbitration unless you opt out within 30 days. Where the law where you live gives you rights we cannot limit, you keep them.

These terms apply whenever you visit or use Roomquoted, including the website, its pages, texts and emails, and any feature we offer on it (together, the service). "We", "us" and "our" mean Humanik Technologies Inc.. "You" means the person using the service, and the business you act for if you use it for a company.

You accept these terms when you continue past a notice that links to them, for example when you upload a photo, confirm your phone number, send your project to a company, create an account or join as a company. If you do not agree, do not use the service. Our privacy policy and cookie policy explain how we handle information, and form part of how the service works.

Who can use Roomquoted

• You must be at least 18 years old and able to enter a binding contract.
• The service is offered in Canada and the United States. Do not use it for a property anywhere else.
• If you use the service for a business, you confirm you have authority to accept these terms for that business.
• You must give accurate information and keep it up to date.

Roomquoted is an information and introduction service. It helps you picture a remodel, compare local companies and prices, and choose which companies to contact.

• We do not perform, supervise, inspect or guarantee any renovation work.
• We are not a contractor, and we do not hold or act under any contractor, trade or renovator licence.
• We are not a party to any agreement between you and a company, and we are not an agent, broker, employer or partner of any company.
• We do not give design, engineering, architectural, building-code, legal, financial or insurance advice.

Any agreement for work is made directly between you and the company. The company alone is responsible for its price, quote, contract, permits, workmanship, schedule, warranty, insurance and conduct.

Our listings include companies that have joined Roomquoted and companies that have not. Listings for companies that have not joined are built from public business listings and city or provincial licence registers. Each listing shows which checks we have made for that company.

• A listing is not an endorsement, recommendation, guarantee or referral of the company or its work.
• Information about a company can be incomplete or out of date. It comes from the company, from public records or from other sources we do not control.
• Our checks are limited to what we describe on the page for that company and on our page about how we check companies. They are not a guarantee that a licence, insurance policy or registration is valid on any given day.
• Before you hire anyone, check the company yourself: its licence, insurance, references, written contract and permits.

Every price on Roomquoted carries one of three labels:

• Verified price means the price was worked out from the company's own price list, as the company gave it to us. It does not mean the company has been checked, approved or endorsed, and it does not mean the price is final.
• Roomquoted estimate means the figure is our own calculation, made by our pricing engine from local cost data. It is not a quote, offer, bid or estimate from any company, and no company has agreed to it. It is not an estimate given by a supplier for the purposes of any consumer protection law.
• No price means we cannot price that company for your project.

No price on Roomquoted is a quote or an offer. Every price is based on the information you gave and on data that can change. The company confirms its own price, usually after a site visit, and the final price can be higher or lower. We do not guarantee that any company will offer any price, that any price is accurate, or that a price is the lowest available. See how we estimate prices.

The pictures of your remodelled room are generated by artificial intelligence from your photo and answers. They are concepts to help you picture a change.

• They are illustrative only. They are not plans, drawings, specifications, measurements or advice of any kind.
• What they show may not be possible, safe, permitted by building codes or bylaws, available, or included in any price.
• They may contain errors, including wrong sizes, materials, fixtures or structural details.
• Do not rely on them to make building, structural, safety or purchasing decisions. A qualified professional must confirm any design.

• You can choose up to three companies to send your project to. We share your details only with the companies you choose, and only after you confirm each one.
• If you choose a company that has not joined Roomquoted, we send it your project for you. It receives your name and number only if it joins and accepts your project.
• A company you choose may call, text or email you about your project. You can withdraw your approval at any time, but we cannot recall information a company has already received.
• We do not promise that any company will reply, visit, quote, be available or do the work.
• Companies pay us a fee when they accept an introduction. That is how the service stays free for you. You pay us nothing.

How results are ordered. Order is set by price and fit. Verified prices and Roomquoted estimates are sorted together and labelled, and companies with no price come last. Companies pay us only when you choose to contact them, and payment never changes the order or the badges. The full rules are on how ranking works and how we make money.

Your content means the photos, descriptions, answers, messages, reviews and anything else you give us. You keep ownership of it.

You give us a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, copy, process, adapt, translate, create derivative works from, analyse, display, transmit and otherwise use your content and the information you give us, including your photos, answers, messages and the concept images made from them. We may use it to:

• provide and operate Roomquoted, including sharing your project with the companies you choose;
• improve and develop Roomquoted and our other products and services;
• train, test and improve our models, such as the ones that read a room, draw a concept and estimate a price;
• create de-identified and aggregated data, which we may use and share for any purpose;
• keep the service safe and secure, and meet our legal obligations.

We may let our service providers and our affiliates, including companies in the Humanik Technologies Inc. group, use your content on our behalf for these purposes, and this licence transfers with the business if it is sold or reorganized. The licence lasts as long as we need it for these purposes. It survives the end of your use for de-identified and aggregated data, for models already trained, and for content already shared with a company you chose.

How we use personal information is governed by our Privacy Policy. Some of these uses start on and can be switched off, and some start off and need your yes first. Both are set out on Your Privacy Choices. We never use your name, phone number or email to train a model, and we never let the AI providers that run our models train their own models on your photos.

What we own

We own the concept images, estimates, rankings, listings and de-identified data that we create, and any models we train. You may use the concept images made for your project for your own personal, non-commercial purposes, such as planning your remodel and sharing them with family or the companies you are talking to.

What you promise about your content

• You own it or have permission to use it, and giving it to us does not break anyone's rights or any law.
• It is of a property you own or are authorized to work on.
• It does not show other people without their permission. Please avoid photographing people at all.
• It is not false, misleading, unlawful, abusive or harmful, and it does not contain malware.

We may remove or refuse any content, and we are not obliged to review content before it is used. Reviews must be honest accounts of a real experience, and we may remove reviews that break our rules or the law.

Feedback

If you send us feedback, ideas or suggestions, you give us a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose, without any obligation or payment to you.

You agree not to, and not to help anyone else to:

• copy, scrape, crawl, harvest or index the service or its data by robot, spider, script or other automated means, except search engines following our robots rules;
• use the service, its content or its prices to build a competing product or database, or to train, test or improve any AI or machine-learning model;
• reverse engineer, decompile or try to get the source code or the pricing engine, except where the law allows it despite this term;
• submit fake projects, false information or requests you do not intend to pursue;
• pretend to be a homeowner, a company or anyone else, or misrepresent your connection to a company;
• contact companies or homeowners through the service for anything other than a genuine renovation project;
• post false, misleading, defamatory, infringing, discriminatory, harassing or unlawful content, or fake or paid reviews;
• interfere with, overload, probe or break the security of the service, or get around any limit or access control;
• use the service in breach of any law, including consumer protection, anti-spam, privacy and human rights laws.

• When you give us your phone number, we text you a one-time code to confirm it.
• If you agree, we text you about your project, such as your results, updates and messages from the companies you chose. Message frequency varies. Message and data rates may apply.
• Reply STOP to stop texts, and HELP for help. You can also contact us to opt out.
• We send marketing messages only with your separate consent, and every one includes a way to unsubscribe.
• Companies you approve may contact you directly. Their messages are their responsibility.

You agree we can give you notices and records electronically, including by email, text or on the site. See our SMS terms.

The service, including its software, design, text, illustrations, mascot, logos, the Roomquoted and Humanik names, the pricing engine, and the selection and arrangement of listings and prices, belongs to us or our licensors and is protected by law. We give you a limited, personal, revocable, non-transferable licence to use the service for its intended purpose under these terms. All other rights are reserved.

The service links to and relies on companies, websites, map data, registers and services run by others. We do not control them and are not responsible for their content, accuracy, availability, policies or actions. Your dealings with any company, including payments, contracts, warranties and disputes, are solely between you and that company.

To the maximum extent permitted by applicable law, the service and everything on it, including listings, checks, prices, estimates, rankings, AI concepts and content from others, is provided "as is" and "as available", without warranties or conditions of any kind, whether express, implied or statutory. That includes any warranty or condition of merchantability, quality, fitness for a particular purpose, accuracy, completeness, availability, title and non-infringement.

We do not warrant that the service will be uninterrupted, secure or error-free, that any information is correct or current, or that any company is licensed, insured, qualified, available or honest, or will perform well.

Some jurisdictions do not allow certain warranties to be excluded. In those places, the exclusions apply only as far as the law allows, and any warranty that cannot be excluded is limited to the shortest period the law permits.

To the maximum extent permitted by applicable law:

• We, our affiliates, and our and their directors, officers, employees, agents and licensors are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, savings, data, goodwill or property value, however caused and even if we were told they were possible.
• We are not liable for anything a company does or fails to do, including its prices, quotes, contracts, workmanship, delays, damage, injuries, defects, permits or conduct, or for any decision you make based on a price, estimate, listing, ranking or AI concept.
• Our total liability for all claims relating to the service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, and (b) CA$100 if you live in Canada or US$100 if you live anywhere else.

These limits apply to every kind of claim, whether in contract, tort (including negligence), statute or otherwise. They do not limit liability for our gross negligence, wilful misconduct or fraud, for death or personal injury caused by our negligence where the law does not allow that to be limited, or any right you have that cannot be limited under the law that applies to you.

Disputes about renovation work, prices, contracts, payments, damage or conduct are between you and the company. To the maximum extent permitted by applicable law, you release us, our affiliates, and our and their directors, officers, employees and agents from all claims, demands and damages, known or unknown, arising out of or connected with any such dispute.

This release covers claims you do not know about or suspect when you accept these terms. Where a law says a general release does not reach unknown claims, you waive that law to the extent the law where you live allows you to.

To the maximum extent permitted by applicable law, you agree to defend, indemnify and hold harmless us, our affiliates, and our and their directors, officers, employees and agents from any claim, loss, liability, damage, fine, cost or expense (including reasonable legal fees) arising out of or connected with: your use or misuse of the service; your content; your breach of these terms or of any law; your breach of anyone else's rights; or your dealings with any company or homeowner. We may take control of the defence of any claim, and you will cooperate with us.

If you believe content on Roomquoted infringes your copyright, send a notice to info@humanik.io with: your contact details; the work you say is infringed; where the content is on our site; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you own or are authorized to act for the owner; and your physical or electronic signature. Our designated agent under the US Digital Millennium Copyright Act can be reached at the same address.

For notices under Canada's Copyright Act notice-and-notice regime, send the details that Act requires to the same address. We may remove content and end the accounts of repeat infringers.

You can stop using the service at any time. We may suspend or end your access, remove content, or stop offering all or part of the service, at any time and for any reason, including a breach of these terms, risk to others, or legal requirements, and where practical we will tell you.

Sections that by their nature should continue after your use ends will continue, including sections 4, 5, 7 (for content already shared), 8, 10 and 12 to 25.

We may change, add or remove features of the service at any time. We may also update these terms. If a change is material, we will tell you at least 30 days before it takes effect, by email or text if we have your details and by a notice on the site, and we will describe what is changing. You can stop using the service before the change takes effect. If you keep using it after that date, the updated terms apply to you.

Changes that are not material, such as clarifications, or changes required by law, take effect when we post them.

Talk to us first

Before starting any claim, send us a written notice to info@humanik.io describing the dispute and what you want. We will do the same for you. Both sides agree to try in good faith to resolve it for 60 days before starting arbitration or a court case.

Binding individual arbitration

If we cannot resolve it, you and we agree that any dispute, claim or controversy arising out of or relating to these terms or the service will be resolved by binding individual arbitration, run by a recognised arbitration provider under its consumer rules. Applicable federal arbitration law governs this section. Hearings may be held by video or near where you live. We will pay the arbitration fees that the provider's rules or the law require us to pay.

Exceptions

• Either side may bring an individual claim in small claims court if it qualifies.
• Either side may go to court to stop infringement or misuse of intellectual property.

Class action and jury waiver

Where the law allows, you and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding, and each waive the right to a jury trial. If this waiver is found unenforceable for a claim, that claim will go to court and not to arbitration.

Relief the law does not allow to be arbitrated

If a claim seeks relief that the law does not allow to be waived or arbitrated, that part will be decided by a court, and the rest of this section still applies.

Your right to opt out

You can opt out of arbitration by emailing info@humanik.io within 30 days of first accepting these terms, with your name, phone number or email, and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these terms.

• If you live in the United States: these terms are governed by the laws of the State of Florida and applicable US federal law, without regard to conflict-of-laws rules.
• If you live in Canada: these terms are governed by the laws of the province or territory where you live and the federal laws of Canada that apply there.
• Unless a dispute goes to arbitration under section 19, it will be heard by the courts where you live, and you and we consent to their jurisdiction.

Some places give consumers rights and protections that a contract cannot limit or take away. Nothing in these terms takes away any right you have that cannot be waived under the law where you live. Where such a law applies, any term of these terms that it affects, including the disclaimers, limits of liability, release, indemnity, dispute and change terms, applies to you only as far as that law allows, and the rest of these terms still applies.

If a law where you live requires us to give you information, a notice or a way to complain, you can reach us at info@humanik.io, and you may also contact the consumer protection office where you live.

This section applies to every company listed on Roomquoted, including companies that have not joined and have not accepted these terms.

• Listings of companies that have not joined are built from public business listings and city or provincial licence registers. We list factual information, such as the company's name, business address or area, phone, website, trade and licence details.
• A listing does not mean the company has joined Roomquoted, endorses us, or is endorsed by us.
• A company that has not joined never shows a verified price. Its listing shows a Roomquoted estimate or no price, labelled as such.
• We do not publish a sole proprietor's home address or personal name where we can tell the details are personal rather than business details.
• A listed company can ask us to correct its details, claim its listing, or remove it, free of charge, by emailing info@humanik.io. We will respond within 30 days.

If you join Roomquoted as a company, these terms apply to you together with any written agreement we sign with you. If that agreement conflicts with this section, the agreement applies. You use the service as a business, not as a consumer.

• Relationship. You are an independent business. Nothing creates an employment, agency, partnership or joint venture between us. We are not a party to your contracts with homeowners.
• Accuracy. You confirm that everything you give us is accurate and current, including your licences, registrations, insurance and references, and you will tell us within 5 days if any of it lapses or changes.
• Price lists and verified prices. You are responsible for the accuracy of the price list you share. Prices shown from it are labelled verified prices. You agree to explain any difference between that price and your final quote to the homeowner. We may suspend the label or your listing if a price list is out of date or inaccurate.
• Fees. You pay us the fees agreed with your Roomquoted representative and set out in your agreement or on your account, for each introduction you accept. Fees are exclusive of taxes such as HST, GST or sales tax, which you also pay. Payment terms, credits and fee disputes are set out in your agreement or on your account.
• Homeowner information. You may use a homeowner's information only to respond to and carry out that homeowner's project. You may not sell, share or reuse it, add it to marketing lists, or contact the homeowner after they withdraw consent. You must comply with privacy, anti-spam and telemarketing laws in Canada and the United States.
• Reviews. You may not write, buy, incentivize, suppress or manipulate reviews, or ask homeowners to post only positive ones.
• Your content. You own your logos, photos and descriptions, and you give us a licence to use them to list and promote your business on the service. Project photos must be authentic photos of your own work, not generated or altered by AI.
• Your indemnity. You will defend and indemnify us against claims arising from your work, your licensing, insurance and permits, your use of homeowner information, and your breach of these terms or the law.
• Liability cap. For companies, our total liability is limited to the fees you paid us in the 12 months before the claim arose.
• Suspension. We may suspend or remove your listing or account if a check lapses, if homeowners report serious problems, or if you breach these terms.
• Disputes. Disputes between a company and us are resolved by confidential binding arbitration by a recognised arbitration provider under its commercial rules, to the extent the law allows. For companies in the United States, Florida law applies. For companies in Canada, the laws of the province or territory where the company is based apply. Claims are brought individually, not as a class. Either side may seek urgent injunctive relief in court.

• Entire agreement. These terms, together with the policies they link to and any written agreement you sign with us, are the whole agreement between you and us about the service.
• Severability. If any part of these terms is found invalid or unenforceable, it is limited or removed only as much as needed, and the rest stays in force.
• No waiver. If we do not enforce a right, we have not given it up.
• Assignment. You may not transfer your rights or obligations without our written consent. We may transfer ours, including as part of a merger, acquisition or sale of assets.
• Force majeure. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of internet, hosting or messaging providers, natural events, labour disputes or government action.
• Language. These terms are written in English, and you and we agree they are. Headings are for convenience only. "Including" means including without limitation.
• No third-party beneficiaries. Only you and we can enforce these terms, except that the people named in sections 13 to 15 can rely on them.
